Kamino's $20 Million Growth Bet Ties CEO Vesting to Valuation, Not to Holders
Kamino has tied most of CEO Weisz's KMNO allocation to valuation milestones and paired it with a $20 million growth commitment. The catch? Token holders still have no claim on foundation revenue. Alignment, or optics with extra steps?
Kamino's CEO just got one of the more honest compensation packages in DeFi. Weisz's KMNO allocation now vests against valuation milestones. Not tenure. Not a token price chart that goes up because a market maker sneezed. Valuation. And there's a $20 million growth commitment sitting right next to it.
Here's the part that didn't get bolded. KMNO holders have no claim on foundation revenue. None. The foundation earns, the foundation spends, and token holders watch from the cheap seats. Which makes the vesting structure less a story about alignment and more a story about optics.
In fairness, tying a CEO's bag to valuation beats the alternative, which is the standard four-year cliff, a farewell tweet, and a token down 90% from listing. If Weisz ships, he gets paid. That's better than what most of the 2021 cohort managed, and they got paid for showing up.
But valuation measured how? Private round marks? Secondary liquidity? A number a consultant agreed to over lunch? The metric matters more than the milestone does. A founder can hit a valuation target while retail holds a token that's bled out since the listing candle. Spare me the roadmap.
The $20 million is real money, though. Spending on growth for a lending protocol means incentives, integrations, liquidity. That's a subsidy with a clock on it. The question is whether it buys deposits that stay or rented TVL that bolts the week the rewards dry up. I've seen enough of the second kind, and so have you.
The structural gap is the actual story. Two balance sheets, one narrative. Foundation revenue accrues to the foundation. Holder upside depends on a governance vote that hasn't happened, which is a polite way of saying it depends on a vote that might never happen.
So watch two things. The fine print on how valuation gets measured, and the first proposal that floats a fee switch. Until one of those moves, KMNO holders are equity holders with none of the equity.
